INVESTOR PROTECTION IN SECURITIES MARKET: CRITICAL ANALYSIS OF DISCLOSURE AND DUE DILIGENCE NORMS – Aditi Dixit & Saurabh Shukla

Abstract

This study offers a critical review of the protections afforded to investors in the Indian securities market, with a particular emphasis on the role of disclosure and due diligence norms outlined in the SEBI Act, LODR Regulations, and ICDR Regulations. The study highlights the significance of these norms in enabling investors to make informed investment decisions and fostering integrity in the market. This subject is particularly salient, as a series of corporate scandals, such as Satyam, Sahara, and IL&FS, have resulted in perceived gaps in regulatory enforcement and the accountability of intermediaries, and more generally, a decline in investor confidence in the securities market. The study employs a doctrinal research method to examine relevant statutes, regulations, case law, SEBI orders, and committee reports. It also utilizes case studies of compliance failures to provide additional empirical insights, all while drawing on a comparative perspective informed by U.S. SEC and UK FCA best practices. The examination reveals multiple systemic gaps and assesses the effectiveness of our existing legal frameworks in addressing these gaps, while proposing reforms to mitigate disclosure shortfalls and entrenched EVA norms and enhance the enforcement of these norms. The findings aim to inform potential policy measures that will result in adequate investor protection and provide methods to support stable securities and capital market conditions for investors.

INTRODUCTION:

Investor protection forms the cornerstone of an efficient and transparent securities market. It facilitates the ability of investors, especially small, retail investors, to make their own informed investment decisions based on reliable information that is available on a timely basis. In India, investor protection has evolved in parallel with the growth of the capital market, and its practical implementation is crucial for maintaining public confidence in the financial system. Disclosure and due diligence requirements play a crucial role in this regard, serving as mechanisms whereby companies and intermediaries provide transparent information to investors while ensuring regulatory compliance.

Under the SEBI Act, 1992, the Securities and Exchange Board of India (SEBI) has been empowered to protect the interests of investors, which include regulating, enforcing, and establishing comprehensive disclosure and due diligence requirements. Even with strong regulations, ongoing corporate frauds and market scandals, such as the Satyam and Sahara cases, have highlighted gaps in implementation and compliance. These occurrences highlight the need to assess how disclosure norms and due diligence obligations are implemented in practice, and to evaluate whether these norms and obligations effectively provide investors with adequate protection against asymmetric information and wrongdoing.

This research aims to provide a critical analysis of the efficacy of disclosure and due diligence obligations/standards in India, examining how effectively they are implemented, interpreted by the judiciary, and enforced, as well as comparative practices worldwide. It will also highlight weaknesses, make recommendations for reform, and examine the potential implications of such disclosure for investor confidence, market stability, and related factors. The methodology for the study will conduct a doctrinal analysis of Statutes, Regulatory disclosures, orders of SEBI, and judicial precedent, and case studies of important failures of compliance. The aim is to compile a comprehensive commentary on investor protections in the Indian securities markets and potential reforms to enhance your position.
